By accessing or using this website, you agree to these Terms. If you use the website for an organisation, you confirm that you are authorised to act for that organisation. If you do not agree, do not use the website.
About these Terms
These Terms & Conditions (“Terms”) form an agreement between the website user (“you”) and KALP CODE PRIVATE LIMITED (“Kalp Code”, “we”, “us”, or “our”) concerning the website made available for the Kalp Code business.
The website is primarily an informational and enquiry channel. Access to a product, demo environment, software licence, development project, implementation, training, AMC, support, API, hosting, or data-processing service may be governed by a quotation, proposal, statement of work, order form, master services agreement, licence, support terms, data-processing addendum, or another written agreement (“Project Agreement”).
Priority of Project Agreements
A Project Agreement accepted by Kalp Code and the relevant customer will govern the paid work or product covered by it. If a Project Agreement conflicts with these website Terms, the Project Agreement prevails for that subject matter. Website content, demonstrations, discussions, and proposals do not amend a signed Project Agreement unless the amendment is expressly agreed in writing by authorised representatives.
Eligibility and authorised use
You must be legally capable of accepting these Terms and must use the website only for lawful business or informational purposes. You are responsible for the accuracy of information you submit and for ensuring that you have authority and a lawful basis to share it.
- Do not attempt to gain unauthorised access, test vulnerabilities without written permission, interfere with availability, bypass controls, or introduce malware or harmful code.
- Do not scrape, harvest, frame, mirror, reproduce, reverse engineer, or systematically extract website content except where mandatory law permits or we have given written permission.
- Do not impersonate another person, submit unlawful or misleading material, infringe third-party rights, send spam, or use the website to develop or promote a competing copy through misuse of protected materials.
- Do not upload secrets, regulated data, credentials, or personal data that is unnecessary for the enquiry or that you are not authorised to provide.
Website information is not a binding offer
Website descriptions are general and may summarise planned, configurable, beta, coming-soon, or customer-specific capabilities. They are not a guarantee that a feature, integration, timeline, price, performance level, legal outcome, or suitability will apply to your requirements.
A binding commercial commitment arises only through a Project Agreement accepted by authorised parties. Quotations and proposals are subject to their stated validity, assumptions, dependencies, exclusions, taxes, and payment terms.
Intellectual property and brand rights
The website and its original text, layouts, interfaces, visual systems, diagrams, code, software concepts, graphics, product names, logos, trademarks, and other materials are owned by or licensed to Kalp Code and are protected by applicable intellectual-property laws. All rights not expressly granted are reserved.
We grant you a limited, revocable, non-exclusive, non-transferable permission to view the website and to make reasonable internal business use of publicly available information. This permission does not transfer ownership or permit commercial republication, modification, sublicensing, sale, creation of confusingly similar branding, or use of our marks without prior written consent.
Ownership and licence rights in customer-specific deliverables, pre-existing tools, reusable components, third-party materials, open-source software, configurations, data, and feedback will be determined by the applicable Project Agreement and relevant third-party licences.
Information and materials you provide
You retain rights in materials you lawfully provide. You give Kalp Code a limited right to receive, review, copy, communicate, and otherwise use those materials as reasonably necessary to respond to the enquiry, evaluate a requirement, protect the website, comply with law, or perform an agreed service.
A general website submission does not by itself create a confidential, fiduciary, employment, partnership, or exclusive relationship. Do not send confidential information until appropriate confidentiality arrangements and a secure channel are in place. Any signed non-disclosure agreement will govern information within its scope.
AI, OCR, automation, and generated output
AI, OCR, extraction, prediction, recommendation, and automation features can produce incomplete, inaccurate, or context-dependent output. Website examples are explanatory and are not production results or warranties. Business users must apply appropriate human review, validation, access controls, and decision authority before relying on generated or extracted information.
Unless a Project Agreement expressly states otherwise, Kalp Code does not warrant that automated output will be error-free, suitable for statutory filing, legally determinative, or a substitute for professional accounting, legal, tax, compliance, safety, or other specialist advice.
Third-party services and links
The website or a future product may refer or link to third-party websites, APIs, platforms, libraries, payment providers, cloud services, or integrations. Third parties control their own services, terms, availability, security, licensing, and privacy practices. Kalp Code is not responsible for third-party content or conduct, although a Project Agreement may specify responsibilities for an approved integration.
Availability, changes, and suspension
We may update, correct, redesign, restrict, suspend, or discontinue any part of the public website without notice. We do not promise uninterrupted or error-free website availability. We may block or restrict access where reasonably necessary for security, maintenance, suspected misuse, legal compliance, or protection of rights and systems.
Fees, taxes, and payments
The public website is presently provided without a website-access fee. Prices for products and services are supplied through the applicable commercial process. Fees, milestones, expenses, applicable taxes, invoicing, payment dates, interest or remedies for delay, suspension rights, and refund or cancellation rules are governed by the relevant Project Agreement.
Disclaimers
To the fullest extent permitted by applicable law, the public website and its content are provided on an “as is” and “as available” basis. Kalp Code disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted availability, and freedom from harmful components.
Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded. Any express warranty for a paid product or service must be set out in the applicable Project Agreement.
Limitation of liability
To the fullest extent permitted by law, Kalp Code and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, anticipated savings, business, or data, arising from or related to the public website.
For a claim arising solely from use of the public website and not governed by a Project Agreement, Kalp Code’s aggregate liability will not exceed the amount, if any, paid by the claimant specifically for access to the public website during the twelve months preceding the event giving rise to the claim.
Liability concerning a paid product, project, or service is subject to the allocation of risk and any liability cap stated in the applicable Project Agreement. Nothing in these Terms limits liability that cannot lawfully be limited.
Your responsibility and indemnity
To the extent permitted by law, you will be responsible for loss, claim, cost, or expense arising from your unlawful use of the website, your material breach of these Terms, content you provide without authority, or your infringement of another person’s rights. If a third-party claim is made against Kalp Code on that basis, you agree to indemnify and reasonably assist Kalp Code, subject to Kalp Code providing reasonable notice and retaining control of its defence and settlement.
Privacy
Our Privacy Policy explains the handling of personal data associated with the website. Product- or project-specific processing may additionally be governed by a Project Agreement or data-processing addendum.
Governing law and jurisdiction
These Terms and any non-contractual obligation connected with them are governed by the laws of India. Subject to any mandatory legal right or a different dispute mechanism in an applicable Project Agreement, the courts of competent jurisdiction at Bhuj, Gujarat, India will have exclusive jurisdiction over disputes arising from these website Terms.
General provisions
- Severability: if a provision is held invalid or unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions continue.
- No waiver: a delay or failure to enforce a right is not a waiver of that right.
- Assignment: you may not transfer rights under these Terms without our prior written consent. Kalp Code may transfer them as part of a reorganisation, financing, sale, or transfer of the relevant business or assets, subject to law.
- Force majeure: Kalp Code is not responsible for delay or failure caused by circumstances beyond reasonable control.
- Entire website agreement: these Terms and the Privacy Policy form the agreement for public website use, without replacing an applicable Project Agreement.
Changes and contact
We may revise these Terms to reflect changes in the website, business, risk, or law. The updated Terms will show a revised effective date. Continued use after an update means the updated Terms apply from that point, subject to applicable law.
Questions about these Terms may be submitted through the Contact Us page or in writing to the registered address shown in this document.
